Corporate & Commercial Law

Our practice covers all aspects of corporate law. In addition to incorporations, the purchase and sale of business assets, partnership agreements, joint ventures, franchises, lease agreements and other matters relating to the establishment of restructuring of companies, we can be of assistance throughout the business planning and corporate management process.

Under the Business Corporation Act, all Records Addresses must be accessible to the public during business hours, all corporations must prepare and keep a number of specified records relating to the ongoing operations of their businesses, and all corporations must hold annual meetings of shareholders.

To those clients who request that Chiu & Company acts as their Registered and Records address, we offer services which include the following: maintenance of minute books; the filing of notices with Corporate Registry as required by relevant legislation and regulations; the review, completion and filing of annual returns with Corporate Registry; preparation of minutes and/or resolutions of annual meetings of shareholders and directors; and the acceptance of service of any documents on behalf of the corporation.


Real Estate & Mortgages

Residential real estate is one of the cornerstones of our practice at Chiu & Company. We act on behalf of vendors and purchasers, and work with numerous financial institutions with respect to the preparation and execution of mortgages.

Closely allied to the purchase of residential real estate is the placement of new mortgage financing. At Chiu & Company, we have developed a good working relationship with many financial institutions.

Condominiums have much in common with other kinds of real estate. Their unique characteristics, however, require consideration from potential purchasers.


Wills & Estates

Every adult should arrange for a Will to be properly prepared, executed and witnessed. These documents should be reviewed on a regular basis, particularly if there has been a change in marital status. Divorce does not render a Will void, while marriage does.

In addition to appointing an Executor, a Trustee and a Guardian for your children, a Will outlines the ways in which your assets are to be disposed, and how debts and estate expenses are to be managed. A Will can provide for specific bequests of either a personal or charitable nature.


Power of Attorney

Powers of Attorney, which give one individual responsibility for managing financial and related affairs of another, have traditionally proven useful to persons who found themselves unable to attend to their financial duties on a temporary or permanent basis. Until recently, however, Power of Attorney became void if the person who had granted them became mentally incompetent.

New Alberta legislation has addressed this problem. The Enduring Power of Attorney is an uncomplicated and effective document which allows individuals to make arrangements for the management of their affairs upon the future occurrence of a specific event, such as mental incapacity.


Immigration Matters

Our firm would be pleased to consult with entrepreneurs who come within any category of the Business Immigration Program. This program is designed to encourage economic initiatives which are of benefit to Canada and Alberta. The program facilitates the immigration of experienced business persons from around the world.

As the global village continues to shrink, movement of persons in and out of Canada will increase. At Chiu & Company, we are also able to provide guidance and assistance to those individuals and businesses who intend to leave Canada to pursue their interests abroad.

We also advise individuals on refugee claims and all other classes of immigration.
